01 Agreement & Who We Are

Yanluo Jewelry (www.yanluojewelry.com) is a stainless steel jewelry manufacturer and wholesale supplier based in Guangzhou, China, specialising in 316L stainless steel rings, necklaces, bracelets, earrings, and jewelry sets.

These Terms of Service apply to all wholesale orders, samples, quotations, and business relationships with Yanluo Jewelry. By placing an order or requesting a quotation, you confirm that you accept these terms in full.

02 Wholesale Orders & MOQ

Minimum Order Quantity (MOQ):

• Ready-ship items: 3 pieces per style
• Production orders: 50 pieces per style
• Mixed styles: 100 pieces total (max 30 pieces per style)

Order Process:

1. Submit inquiry via website, WhatsApp, or email
2. Receive quotation and proforma invoice within 2 hours
3. Confirm order details and make payment
4. Production begins upon payment confirmation

03 Pricing & Payment Terms

Currency: All prices are in USD ($) unless otherwise stated.

Payment Methods:

• Bank Transfer (T/T): 30% deposit, 70% before shipment
• PayPal: Full payment upfront (for orders under $500)
• Alibaba Trade Assurance: Available for qualified buyers

Price Validity: Quotations are valid for 30 days from issue date.

04 Order Changes & Cancellation

Order Modifications:

• Changes to design, quantity, or specifications must be requested within 48 hours of order confirmation
• Modifications after production begins may incur additional charges

Cancellation Policy:

• Before production: Full refund (minus PayPal/bank fees)
• After production starts: 50% refund (deposit non-refundable)
• After completion: No refund (order can be resold to other buyers)

05 Production, Samples & Lead Time

Production Lead Time:

• Ready-ship items: Ships within 3–5 business days
• Production orders: 15–30 business days after deposit
• Custom OEM/ODM: 20–35 business days (includes mold development)

Sample Policy:

• Stock samples: $20–$50 per piece, refundable with bulk order (100+ pieces)
• Custom samples: $80–$150 per piece, 7–10 days production time
• Sample shipping: Buyer pays via DHL/FedEx/UPS

06 Shipping & Delivery

Shipping Methods:

• Express (DHL/FedEx/UPS): 3–7 days, $25–$45/kg
• Air Freight: 7–12 days, $8–$15/kg (100kg+)
• Sea Freight: 25–35 days, $2–$5/kg (500kg+)

Shipping Terms:

• FOB Guangzhou: Buyer arranges freight from our factory
• DDP (Delivered Duty Paid): Available for USA, EU, UK (contact for quote)
• EXW (Ex Works): Buyer picks up from our Guangzhou warehouse

Tracking: Tracking number provided within 24 hours of shipment.

07 Inspection & Quality Control

Quality Standards:

• All products undergo 5-stage QC inspection (material, casting, polishing, plating, final assembly)
• 316L stainless steel certified nickel-free, lead-free, REACH & CPSIA compliant
• PVD plating: 6–12 months color retention under normal wear

Third-Party Inspection:

• Buyer may arrange SGS/BV/Intertek inspection at their cost
• Inspection must be scheduled 5 days before shipment

08 Returns, Refunds & Claims

Return Policy:

• Quality defects: Full refund or replacement within 15 days of receipt
• Wrong items shipped: Full refund or replacement, we cover return shipping
• Buyer's remorse: Not accepted (custom-made items are final sale)

Claims Process:

1. Notify us within 48 hours of receiving goods with photos/video of defect
2. We review and respond within 24 hours
3. Approved claims: refund or replacement shipped within 7 days

Non-Returnable Items:

• Custom OEM/ODM orders with buyer's logo/design
• Cleared customs (import duties/taxes are buyer's responsibility)

09 OEM/ODM & Intellectual Property

OEM/ODM Services:

• Custom designs, logos, packaging, and private labeling available
• Buyer owns IP for custom designs (NDA available upon request)
• We do not sell buyer's custom designs to other clients

Intellectual Property:

• Yanluo Jewelry owns IP for all in-house designs unless transferred in writing
• Buyer warrants they have rights to any logos/designs provided for customization
• Infringement claims: Buyer indemnifies Yanluo Jewelry against third-party IP disputes

10 Warranty & Liability

Warranty Coverage:

• Plating: 6 months against normal wear (excludes scratches, chemical damage)
• Stones: 3 months against falling out (excludes physical impact)
• Chains/Clasps: 3 months against breakage (excludes misuse)

Limitation of Liability:

• Maximum liability: Order value (no consequential damages)
• Not liable for delays due to customs, logistics, or force majeure
• Buyer responsible for import duties, taxes, and compliance in their country

11 Force Majeure

Yanluo Jewelry is not liable for delays or non-performance due to circumstances beyond our control, including:

• Natural disasters (earthquakes, floods, typhoons)
• Government actions (customs delays, trade restrictions, pandemics)
• Logistics disruptions (strikes, port closures, carrier delays)
• Raw material shortages or supplier disruptions

Affected orders will be fulfilled as soon as conditions permit, or buyer may cancel for full refund.

12 Governing Law & Disputes

Governing Law: These terms are governed by the laws of the People's Republic of China.

Dispute Resolution:

1. Good-faith negotiation within 15 days
2. If unresolved, arbitration in Guangzhou under China International Economic and Trade Arbitration Commission (CIETAC)
3. Arbitration award is final and binding

Language: English version prevails in case of translation discrepancies.
